Lorenzo Borogoni
An experienced corporate lawyer, Lorenzo Borgogni represents public and private companies in sophisticated domestic and cross-border transactions, with a focus on U.S. inbound M&A transactions by foreign buyers. Lorenzo has structured, negotiated, and completed more than $40 billion worth of M&A transactions for deal principals, including funds and strategic buyers, and financial advisors. He leads multi-disciplinary deal teams in a wide variety of corporate transactions, including cash and stock-for-stock mergers, tender offers, stock and asset purchases, leveraged and management buyouts, spin-offs, going-private transactions, joint ventures, and divestitures.
Lorenzo also advises clients in connection with takeover defense initiatives and corporate governance matters, including proxy fights, consent solicitations, and activist matters. In addition, he represents domestic and foreign issuers in the offerings of debt and equity securities.
Lorenzo’s experience spans a wide range of industries, including industrial, retail, technology, entertainment, pharma, healthcare, life sciences, energy, education, telecommunications, advertising, financial services, and real estate.
Born and raised in Italy, trained in the U.S., and admitted to practice in New York and Italy.

Viva is an Associate in King & Spalding’s New York office and a member of the International Arbitration practice. Her practice involves commercial and investment treaty arbitrations, as well as enforcement proceedings before U.S. courts.
Prior to joining, Viva studied law at McGill University and at the National University of Singapore, graduating with joint Bachelors of Common and Civil Law. Viva represented McGill University at the 25th Annual Willem C. Vis International Commercial Arbitration Moot, winning second-place for best-written Claimant's memorandum and an honorable mention for Respondent's memorandum. Viva was also a Law Clerk at the Dubai International Financial Centre (DIFC) Courts and has previously worked at the Government of Canada.
Viva is a Fulbright Scholar (2014-2015); a member of the Global Shapers Community (an initiative of the World Economic Forum); and a former Visiting Scholar and Senior Fellow at Johns Hopkins University and University of Ottawa, respectively.
Viva holds a Bachelor of Science degree (Hons.) in Biology and Biotechnology from the University of Windsor and her Master of Arts degree in Public and International Affairs from the University of Ottawa.

Jan Brown
Jan H. Brown is the principal attorney of The Law Offices of Jan H. Brown, P.C., a New York City-based law firm specializing in the practice of immigration law. Mr.Brown has over 35 years of experience in the field of immigration law. Mr. Brown served as president of the New York Chapter of the American Immigration Lawyers Association (AILA) in 2010. He currently co-chairs the Immigration and Nationality Committee of the New York State Bar Association (NYSBA). He was also the co-chair of the NYSBA Special Committee on Immigration Representation Sub-Committee on Standards and Quality and has testified before the New York Council concerning the detention of criminal aliens. Mr. Brown recently authored proposed legislation to stem the illegal practice of immigration law by unlicensed practitioners. He has lectured on immigration topics.
Mr. Brown is a senior editor of the Immigration and Nationality Law Handbook and a long-time editorial reviewer of Kurzban’s Immigration Law Sourcebook.
The popular “Brown Around Town” editorial cartoon series, commenting on topical immigration issues, is drawn and authored by Mr. Brown. He is a Past President of the Rotary Club of New York.

Ying Li is the Director of Operations at Cambrian Biopharma, a distributed drug discovery company focused on the biology of aging and methods of extending healthy human longevity. Prior to Cambrian, Ying was a management consultant at Qral Group for 3 years, a boutique consultancy focused on rare & orphan diseases, where she advised clients on commercialization strategy and product launch planning. There, she led go-to-market strategy & operations for several rare neurology therapy launches. She holds a B.A. from McGill University in International Development Studies and Developmental Economics (focused on health outcomes). Ying is a member of the World Economic Forum's Global Shaper network, where she works on projects of benefit to the NYC community.
